Terms and Conditions

These Terms and Conditions (the "Terms") are a binding agreement between you and Shipify. Please read them carefully. By creating an account, ticking the box at sign-up, signing a role agreement or using the Platform in any way, you confirm that you have read, understood and accepted these Terms, including the Dispute Resolution and Arbitration clause.

Last updated: 25 October 2026 · Version 3.8

§01

Definitions

  • "Platform" means the Shipify website, apps, systems and services. "Shipify", "we" and "us" mean the operator of the Platform, its administrators and its system team.
  • "User" means anyone with an account: a "Supplier" (a shop owner who lists products), a "Dropshipper" (an independent reseller who sells those products to their own customers) and a "Rider" (an independent delivery partner). "End Customer" means the person to whom a Dropshipper sells and to whom an order is delivered.
  • "Order" means a request placed by a Dropshipper on the Platform for a product to be picked up from a Supplier and delivered to an End Customer. "Wallet" means the record of a User's balance kept by the Platform's ledger. "Platform Fee" means Shipify's charge per delivered order as shown in the app.
  • Wherever the website, the app or Shipify's advertising says "Shipify rider", "our riders" or similar, it means a Rider as defined above: an independent delivery partner registered on the Platform, who is not an employee or agent of Shipify.

§02

Shipify Is Only a Facilitator

  • Shipify provides a technology platform that lets Users find each other's offers, place and track orders, arrange delivery and keep a record of money owed between them. Shipify is not a seller, buyer, manufacturer, importer, distributor, retailer, courier, carrier, bank, payment provider, agent, partner, employer or guarantor of any User.
  • Every sale is made by the Supplier to the Dropshipper and by the Dropshipper to the End Customer. Title to and risk in every product remain with the Supplier until delivery to the End Customer, except where these Terms place a loss on a Rider or another User.
  • Shipify does not inspect, test, certify, warrant or guarantee any product, listing, price, User, delivery time or outcome. Any approval, review, badge, score or check made by Shipify is an internal platform measure only and is not a representation or warranty to anyone.
  • Riders are independent delivery partners who decide when to go online and which offers to accept. They are not employees, agents or representatives of Shipify, and Shipify is not responsible for their acts or omissions.

§03

Eligibility and Accounts

  • You must be at least 18 years old, able to enter into a binding contract under the laws of Pakistan, and legally allowed to carry on the business you register for. Suppliers must own or run a physical shop in a city enabled by Shipify.
  • Sign-up needs only your mobile number and a password. Before you can work on the Platform you must finish every registration step shown on your dashboard (your details, agreement, payout account, an identity check with a live selfie and both sides of your CNIC, and, depending on your account type, your shop, verification or security deposit). Shipify may refuse, delay or pause any registration, including pausing new sign-ups for an account type. One CNIC may be used for one account per account type only.
  • Your mobile number is your permanent identity and cannot be changed. You may hold only one account per account type. You must give true, complete and current information and keep it updated.
  • You are fully responsible for everything done with your account, whether or not you authorised it. Never share your password. Shipify staff will never ask for it.

§04

Each User's Own Responsibility

  • Suppliers are solely responsible for their products and listings: that the products are genuine, legal, safe, of the quality and quantity described, correctly priced, in stock, properly packed and ready on time, and that they have every right, licence and permission needed to sell them, including intellectual property rights.
  • Dropshippers are solely responsible for their own business and customers: their advertising and every claim or promise made to an End Customer (price, quality, features, delivery time, warranty, discounts), the accuracy of the customer details they enter, having the customer's consent to place the order, and their own customer service.
  • Riders are solely responsible for the care, custody and safe delivery of every parcel and all cash from the moment of pickup until delivery to the End Customer or return to the Supplier, for obeying traffic and other laws, for their own vehicle, licence, fuel, phone and insurance, and for any accident, injury, loss or damage they cause or suffer.
  • End Customers deal with the Dropshipper who sold to them. Any claim of an End Customer about a product, its price or its delivery lies against the Dropshipper and, through the Dropshipper, the Supplier, and not against Shipify.
  • Each User is responsible for their own taxes, registrations and legal compliance arising from their business.

§05

Products and Listings

  • Products may go live only after the Supplier's registration is complete and the product has passed Shipify's review where review is switched on. Changes to a live product may send it back for review.
  • Shipify may refuse, hide, restrict, edit for formatting or remove any listing or content at any time and for any reason, including suspected illegality, poor quality, complaints or a breach of these Terms, without liability.
  • Listings, questions and answers must not contain phone numbers, links, email addresses, social media handles or any other contact details. Such content is blocked automatically.

§06

Orders, Prices and Charges

  • The Dropshipper sets the selling price for the End Customer. Before an order is placed, the app shows the Supplier's price, the delivery charge, the Platform Fee and the Dropshipper's resulting profit. By placing an order the Dropshipper accepts these amounts.
  • Shipify may change the Platform Fee, delivery charges, deposits, limits and other business values in Settings at any time. A change applies to orders placed after it is made.
  • Same-day delivery is the service Shipify aims to offer in the cities it serves; it is a goal and not a promise or guarantee for any single order. Delivery times, including "same day", are estimates only. Shipify does not guarantee that a Rider will be available or that any order will be delivered by a particular time, and a late delivery does not by itself entitle anyone to compensation.
  • Shipify may confirm, hold, cancel or refuse any order, for example where stock, the customer's details or the order look wrong or risky.
  • Fraud prevention: every order and account is given an automatic risk score from facts such as the age of the account, its delivered orders, the customer's earlier refusals and the order value. An order with a high score waits for the Shipify team's approval before it is sent. A new account may place only a limited number of orders a day for its first days, as set in Settings.
  • A delivery or failed delivery is accepted only with a photograph and the Rider's location at that moment.
  • Rider order limit: a Rider may carry an order only if the whole amount of the order is covered by the free balance of the Rider's Wallet (the Wallet minus the amount of orders and replacement items already in the Rider's hands and any amount held by Shipify). Shipify, the Supplier and the Dropshipper rely on this. The Shipify team cannot override it when giving an order to a Rider. When a Rider's Wallet is topped up, orders that were waiting for a Rider are offered again automatically.
  • Cash a Rider collects from the End Customer stays with the Rider as part of the amount that covers the order; the Rider's Wallet is charged for it when the order is delivered, and Shipify settles the Supplier from the amounts it holds. A Rider is an ordinary registered User, not a trusted member of the Shipify team: the Wallet balance is the limit of what a Rider may carry, so that cash and parcels are always covered. The Rider keeps the cash it collected and adds it back to the Wallet (by transfer or in person) to receive new orders. If a Rider does not deliver, return or account for a parcel or cash, Shipify may keep the covering amount from the Wallet and recover any shortfall by any lawful means.

§07

Wallets, Deposits, Checks and Payouts

  • Every amount a User earns, owes, deposits or is paid is recorded as an entry in that User's Wallet. Entries are never edited or deleted; a correction is a new entry with a reason. The Wallet is a record of amounts owed and is not a bank account or a deposit with Shipify.
  • Every Wallet entry is checked automatically against the record it came from (the order and product, the deposit and the team member who confirmed it, the payout, the return, or the team action). An entry that cannot be matched is held and reviewed by the Shipify team, who may confirm it, reverse it or take any other corrective step. Money from an entry under review cannot be paid out or used until the review is finished.
  • A correction the Shipify team makes to a Wallet above the amount set in Settings takes effect only after a second administrator approves it (maker-checker).
  • Shipify may at any time hold, reverse, correct or set off any Wallet amount that was credited by mistake, through a system error, through fraud or misuse, or that is the subject of a complaint, return, chargeback or Dispute, and may recover any negative balance from future earnings, deposits or by any lawful means.
  • On-demand withdrawal: a Supplier, Dropshipper or Rider may, at any time, ask for the amount shown as "Ready for payout". Only settled money is ready: money held by Shipify, money still inside the return window, money of an order with an open return or exchange, a Rider's overdrawn balance, and security deposits are never included. One request may be open for a Wallet at a time; Shipify sends it to the payout account the User provides and may cancel a request with a reason the User is told. Every request is recorded.
  • Month closing: Shipify may close a finished accounting month. The statement of a closed month is saved as it stood and is the record of that month; later corrections are made as new, reason-backed entries in the month that is open, never by changing a closed month.
  • Security deposits are a reserve held against charges, returns and losses and are not interest-bearing. Payouts are made on the schedule shown in the app to the payout account the User provides; Shipify is not responsible for a payment sent to wrong account details given by the User. Payouts may be delayed or withheld while an account, entry or order is under review.

§08

Returns, Failed Deliveries and Refunds

  • When a delivery fails, the Rider's trip charge is charged to the Dropshipper and the product goes back to the Supplier. The Supplier is paid only for delivered orders.
  • Customer returns and exchanges after delivery are handled under the Return and Refund Policy, which forms part of these Terms. Who pays the return charges is decided by Shipify on the facts, as set out in that policy.
  • Parcel photos: when a Rider takes a parcel at the shop, and when a Rider hands a return or exchange item back at the shop, the Rider takes a photograph with the location switched on. Shipify keeps these photographs with the order and may rely on them, together with the rest of the Platform's records, when it decides a report or a dispute. A Rider who cannot take the photograph does not mark the step done and tells Shipify.
  • If a Rider says a return or exchange item was handed to the Supplier and the Supplier says it never arrived, the Supplier may report this in the app. Shipify hears both sides, decides whether the item reached the Supplier or was lost on the way, tells both of them its decision and its reason, and the request is not settled until it has decided. Shipify's decision on the facts, based on the Platform's records, photographs and messages, is final for settlement purposes, subject to the dispute resolution clause.
  • Shipify does not itself sell to End Customers and does not owe any refund to an End Customer, except where it processes one on behalf of a User from that User's Wallet.

§09

Referral Program

  • A User may invite others with a personal referral link. When an invited person signs up with that link and finishes the number of delivered orders set in Settings, the inviting User becomes a Priority Partner for the number of days set in Settings, and the invited person receives a shorter welcome priority on sign-up. Days add up for each qualifying friend.
  • Priority Partner status gives only these free benefits: waiting orders are offered to Riders first, a Supplier's products are shown higher in the marketplace's recommended list, and the Shipify team sees a Priority Partner tag. It carries no money, credit, discount or cash value and cannot be exchanged or transferred.
  • Self-referrals, fake accounts and orders placed only to qualify are not allowed. Shipify may refuse, remove or end any priority, change the benefits or end the program at any time.

§10

Reports, Complaints and Suggestions

  • Every User may send the Shipify team a problem, error, complaint, suggestion or feedback from the app. The team reads each message, may reply in the same thread and marks it resolved when it is dealt with. Messages are kept as part of the account's records.
  • Sending a report does not by itself open a Dispute; a Dispute is raised and decided under the Dispute Resolution and Arbitration clause.
  • Ratings and reviews that Users give each other are confidential. They are used by the Shipify team for quality and safety, so that a rating cannot start a quarrel.

§11

Prohibited Conduct

  • You must not: give false information; list or order illegal, counterfeit, stolen, unsafe or restricted goods; place fake, duplicate or test orders; misuse customer data; manipulate prices, reviews, ratings or scores; interfere with the Platform, its security or its records; use the Platform for money laundering or any unlawful purpose; or harass, threaten or abuse anyone.
  • Packing in front of the Rider: to keep the Platform from being used to move illegal or prohibited goods, a Supplier must show the item to the Rider and pack it in front of the Rider, and a Rider must not take a parcel that was packed beforehand and must confirm in the app that the item was shown and packed in front of them. A Rider may refuse a parcel and report the Supplier. Shipify may refuse, hold or cancel an order, suspend a User, report a matter to the authorities and hold Wallet balances where a breach is suspected.
  • All orders, payments and communication that arise through the Platform must stay on the Platform. You must not take any order, payment or business that came to you through the Platform outside it, or ask another User to do so. A breach may lead to suspension, holding of Wallet balances to cover Shipify's loss and lost Platform Fees, and termination.

§12

Disclaimer of Warranties

  • The Platform and every service on it are provided "as is" and "as available". To the fullest extent permitted by law, Shipify disclaims all warranties and conditions, express or implied, including any about products, Users, availability, accuracy, fitness for a purpose, quality and non-infringement.
  • Shipify does not guarantee that the Platform will be uninterrupted, timely, secure or free of errors, or that any order, sale, profit or earning will result from its use.

§13

Limitation of Liability

  • To the fullest extent permitted by law, Shipify, its owners, administrators, staff and system team shall not be liable to any User, End Customer or other person for any loss or damage arising from any product, listing, order, delivery, return, payment, act or omission of any User or End Customer, or from any event outside Shipify's reasonable control.
  • Shipify shall in no case be liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profit, business, goodwill, reputation, data or opportunity.
  • If, despite the above, Shipify is found liable for anything, its total liability for all claims arising from or about one order shall not exceed the Platform Fee Shipify actually earned on that order, and its total liability to any person for all claims in any twelve months shall not exceed the total Platform Fees it earned from that person's orders in those twelve months.

§14

Indemnity

  • You shall indemnify and hold harmless Shipify, its owners, administrators, staff and system team from and against every claim, demand, loss, liability, penalty, cost and expense (including reasonable legal fees) arising out of or related to your products, listings, orders, deliveries, content, business, breach of these Terms or any role agreement, breach of law, or the rights of any third party, including End Customers. Shipify may recover any such amount from your Wallet.

§15

Suspension and Termination

  • Shipify may warn, restrict, suspend or close any account, hide or remove any content, hold any Wallet amount and refuse any order, at any time and with or without notice, if it believes a User has breached these Terms or a role agreement, given false information, caused loss or complaints, or put other Users or the Platform at risk.
  • You may stop using the Platform at any time. On closure, Shipify settles your Wallet after deducting every amount you owe and holding any amount under review, return window or Dispute. Sections that by their nature should survive closure (including Wallet corrections, Limitation of Liability, Indemnity and Dispute Resolution and Arbitration) survive.

§16

Electronic Contract, Signature and Evidence

  • This document is an electronic contract within the meaning of the Electronic Transactions Ordinance, 2002. Typing your legal name, ticking a box or pressing a confirmation button on the Platform is your electronic signature, attributable to you under that Ordinance, and has the same legal effect as a handwritten signature. No physical signature, stamp paper or witness is required for it to be binding.
  • When you sign or accept, the Platform records the date and time, the document version, the name you typed, your account and mobile number, your IP address, your browser and device details and similar technical information. You agree that these records identify you as the signatory and are admissible and conclusive evidence of your acceptance, including under the Qanun-e-Shahadat Order, 1984 and the Electronic Transactions Ordinance, 2002, unless you prove otherwise.
  • All records kept by the Platform in the ordinary course of business (orders, status history, wallet ledger entries, deposits, payouts, messages, photographs, location records and audit logs) are accepted by you as true and accurate electronic records of the facts they show.
  • You confirm that you are at least 18 years old, of sound mind, not disqualified from contracting by any law (Contract Act, 1872, sections 11 and 12), and that you enter into this contract freely, after reading it, without coercion, undue influence, fraud or misrepresentation.

§17

Compliance with the Laws of Pakistan

  • You alone are responsible for complying with every law, rule, regulation, notification and order in force in Pakistan, federal, provincial and local, that applies to you, your business, your products, your customers and your use of the Platform. Shipify does not give legal, tax or regulatory advice and is not responsible for your compliance.
  • Without limiting the above, you shall comply with, where applicable: the Contract Act, 1872; the Sale of Goods Act, 1930; the Punjab Consumer Protection Act, 2005, the Islamabad Consumers Protection Act, 1995 and the consumer protection laws of every other province; the Electronic Transactions Ordinance, 2002; the Prevention of Electronic Crimes Act, 2016; the Trade Marks Act, 2004; the Copyright Ordinance, 1962; the Competition Act, 2010; the Income Tax Ordinance, 2001; the Sales Tax Act, 1990 and the provincial sales tax on services laws; the Anti-Money Laundering Act, 2010; the Customs Act, 1969; the Drug Regulatory Authority of Pakistan Act, 2012 and the Drugs Act, 1976; the Punjab Food Authority Act, 2011 and other food laws; the Pakistan Penal Code, 1860; the Provincial Motor Vehicles Ordinance, 1965 and road safety rules; and every law amending or replacing any of them.
  • You shall not list, sell, order, carry or deliver anything prohibited, restricted or regulated by law, including counterfeit or smuggled goods, medicines, drugs, weapons, ammunition, explosives, tobacco or nicotine products for minors, alcohol, hazardous substances, stolen property, obscene material, or goods that infringe anyone's rights.
  • Any fine, penalty, tax, duty, claim or proceeding arising from your failure to comply with any law is borne by you alone, and you shall indemnify Shipify, its owners, administrators, staff and system team against it in full.
  • Shipify may report suspected unlawful activity to the competent authorities, preserve records for them and cooperate with any lawful request, without notice to you and without liability.

§18

Taxes

  • You are solely responsible for registering for, calculating, declaring and paying every tax, duty and levy on your income, sales and services, including income tax and sales tax, and for keeping your own records.
  • Amounts shown on the Platform are amounts between users; they do not include any tax you may owe. Where any law requires Shipify to deduct or withhold tax from an amount payable to you, Shipify may deduct it and pay it to the authority, and the net amount is full payment to you.
  • Shipify may ask for your CNIC, NTN or other details needed for tax compliance and may hold payouts until they are provided.

§19

Payments, Payouts, Holds and Set-off

  • Currency and records. All amounts are in Pakistani Rupees, in whole rupees. Your Wallet is a running record kept by Shipify of amounts due between you and other users through the Platform; it is not a bank account, deposit, trust account or e-money, earns no interest or profit, and is not covered by any deposit protection scheme.
  • When money becomes payable. An amount is payable only after the event that earns it is complete and confirmed on the Platform (for example delivery to the customer and the end of the return window), after every check of the entry against its source, and after deducting every amount you owe, every hold, the security reserve and any minimum balance set by Shipify.
  • Schedule and method. Payouts are made on the schedule shown in the app (normally weekly) to the payout account you provide. You are solely responsible for the correctness of that account. A payment sent to the account you gave is a valid discharge of Shipify's obligation even if the account is wrong, closed or not yours. Bank, wallet and transfer charges and delays of banks or payment providers are not Shipify's responsibility.
  • Holds. Shipify may hold any amount, delay or stop any payout, at any time, while an order, return, complaint, dispute, wallet check, deposit, identity, tax or legal matter is open or under review, or where Shipify suspects error, fraud, abuse or a breach of the Terms, without any liability for the delay.
  • Corrections and set-off. Shipify may correct any wrong entry, reverse any amount credited by mistake, through a system error, through fraud or without a valid source, and set off any amount you owe to Shipify or to any other user (including charges, refunds, penalties, losses caused by you and amounts decided in a dispute) against any amount payable to you, your deposit or any future earning, and may recover any remaining negative balance by any lawful means.
  • Deposits. A security deposit is a reserve held against your obligations. It is not a loan to Shipify and earns no return. It is returned, after deducting every amount you owe, only when your account is closed and every order, return window, hold and dispute is over.
  • Unclaimed and dormant balances. If your account is inactive or a payout cannot be made for 180 days, Shipify may close it after notice in the app and deal with the balance in accordance with law.
  • No other payments. Shipify never asks for payment to a personal account or for your password, PIN or one-time code. Any payment made outside the methods shown in the app is at your own risk.

§21

Intellectual Property and Confidentiality

  • The Platform, its software, design, brand, logo, names, data and content belong to Shipify and are protected by law. You receive only a limited, personal, revocable, non-transferable right to use the Platform under these terms.
  • You grant Shipify a free, worldwide, non-exclusive licence to use, copy, adapt and display the content you upload (photos, product details, shop details) for operating and promoting the Platform. You confirm you own that content or have every right needed to grant this licence.
  • You shall keep confidential every non-public information about Shipify, its users, prices, methods and systems that you learn through the Platform, during and after your use of it.

§22

Notices and Time Limit for Claims

  • Notices to you are validly given in the app, by push notification, or on WhatsApp, SMS or call to your registered mobile number, and are deemed received when sent. Notices to Shipify must be given through the Platform (support ticket or dispute) or Shipify's official WhatsApp support number.
  • Any complaint or claim about an order, wallet entry, deposit or payout must be raised through the Platform within 30 days of the event. After that, the record on the Platform is final and the claim is waived, to the fullest extent permitted by law.

§23

Actions the Shipify Team May Take

  • Every action below may be taken by Shipify's administrators and team at any time, with or without prior notice. When an action affects a user, the notice they receive names the clause it was taken under.
  • 23.1 General power. Shipify, through its administrators and team, may at any time and at its sole discretion take any action concerning any account, product, listing, order, delivery, wallet entry, payout, content or setting that it considers necessary for the safety, integrity, transparency or lawful operation of the Platform, whether or not that action is listed in this section. Every such action is recorded, and the user concerned is told where the action affects them.
  • 23.2 Verification and approval of accounts. Shipify may verify, approve, reject or ask for more information or documents about any account, mobile number, identity (including a live selfie and both sides of a CNIC), shop, store or payout account, and may approve, reject or ask for changes to a shop or store before it goes live or at any later time.
  • 23.3 Warnings, restrictions, suspension and deletion. Shipify may warn a user, restrict or pause any part of an account, suspend or block an account, ban a mobile number from registering again, or delete an account together with everything it did on the Platform, including where a user breaches these Terms, gives false information, receives repeated complaints or reports, or puts others at risk.
  • 23.4 Products and listings. Shipify may review, approve, reject, restrict, block, hide, recall, archive or remove any product or listing, require changes to it, or send a changed product back for review, at any time.
  • 23.5 Content moderation. Shipify may block, edit for format, hide or remove any text, photograph or other content, including contact details, links, prohibited words and misleading claims.
  • 23.6 Orders and deliveries. Shipify may confirm, hold, cancel or refuse any order, approve or refuse a cancellation request, assign, reassign or remove a rider, set, change or decide delivery charges and delivery disputes, limit how many orders a new account may place each day, score orders and accounts for fraud risk and hold a risky order for review, and require a photograph and location before a delivery or failed delivery is accepted.
  • 23.7 Returns, exchanges and refunds. Shipify may approve or reject a return or exchange, decide on the facts who pays the return charges, settle refunds and make the resulting wallet entries.
  • 23.8 Deposits and cash received. Shipify may confirm or reject any deposit, top-up or cash handover, and record a deposit received in person.
  • 23.9 Wallet entries and corrections. Shipify may check every wallet entry against its source and may add, take back, give back, hold, release, write off or correct any amount in a wallet, with a recorded reason. A correction above the amount set in the settings takes effect only after a second administrator approves it.
  • 23.10 Payouts and withdrawals. Shipify may prepare, schedule, hold, delay, send or refuse any payout or withdrawal, including while an account, entry, order or dispute is under review.
  • 23.11 Riders. Shipify may offer, assign or withdraw deliveries, set order and cash limits, require deposits and location sharing, give and recover advances and bonuses, and pause a rider's work.
  • 23.12 Disputes. Shipify's team settles disputes, refers them to the Arbitration Committee, and its system administrators decide appeals as the Appellate Forum, under the Dispute Resolution and Arbitration clause.
  • 23.13 Operations, fees and settings. Shipify may open or pause operations in any city, pause new sign-ups, change fees, charges, limits and other settings, and put the Platform in maintenance or pause it.

§24

Dispute Resolution and Arbitration

  • Scope. This clause covers every dispute, difference, claim or question (a "Dispute") arising out of or in connection with these Terms, any role agreement, any order, wallet entry, payout, deposit, delivery, return or any other use of the Platform, whether between a user and Shipify or between two or more users (suppliers, dropshippers, riders and end customers), and whether it arises in contract, tort, under statute or otherwise. It survives the end of the agreement and the closure of any account.
  • No direct approach to courts or authorities. To the fullest extent permitted by law, every party agrees that it shall not file, lodge or start any suit, complaint, petition, application, first information report or other proceeding about a Dispute before any civil, criminal, consumer, banking or other court, tribunal, police station, regulator, ombudsman or other government department or institution, unless and until the steps of this clause have been followed in full and the Appellate Forum has given its decision.
  • Step 1, notice and amicable settlement. The party raising a Dispute shall first give written notice of it to Shipify through the Platform (support ticket or dispute) or on Shipify's official WhatsApp support number, setting out the facts, the amount involved and the relief sought. Shipify and the parties shall try in good faith to settle the Dispute amicably within fifteen (15) days of the notice.
  • Step 2, the Arbitration Committee. If the Dispute is not settled within that time, it shall be referred to and finally resolved by arbitration before an Arbitration Committee. The Arbitration Committee is made up of every user who is affected by the Dispute (the parties to it) together with members of Shipify's administration and system team nominated by Shipify, one of whom presides. Every affected user shall be given a fair opportunity to present their case and documents, in person, by phone, by video or in writing, as the presiding member directs.
  • Procedure. The Arbitration Committee decides its own procedure, may proceed on documents alone, and may rely on the Platform's records (orders and their status history, wallet ledger entries and their source checks, deposits, payouts, delivery confirmations, photographs, messages and audit logs), which every party accepts as accurate evidence unless shown otherwise. The Committee shall try to reach its decision by consensus; where consensus is not possible, the decision is taken by the Shipify members of the Committee. The decision (the "Award") shall be in writing with brief reasons and shall be given, where possible, within thirty (30) days of the reference.
  • Step 3, appeal to the Appellate Forum. Any party who is not satisfied with the Award may appeal in writing within fifteen (15) days of receiving it to the Appellate Forum. The Appellate Forum consists only of Shipify's system administrators. It may confirm, change or set aside the Award, may decide on the record or hear the parties, and shall, where possible, decide within thirty (30) days of the appeal. If no appeal is filed in time, the Award becomes final.
  • Finality. The decision of the Appellate Forum is final, absolute and binding on all parties. Every party waives, to the fullest extent permitted by law, any right to appeal against, challenge, set aside or seek review of the Award or the Appellate Forum's decision before any court or other authority, and undertakes to carry it out without delay. Shipify may give effect to an Award or decision through the Platform, including by wallet entries, holds, reversals, set-off and payouts.
  • Stay of court proceedings. If any party starts proceedings before a court or authority about a Dispute in breach of this clause, the other party, or Shipify, may apply to that court under Section 34 of the Arbitration Act, 1940 for the proceedings to be stayed, and every party consents in advance to such a stay. The party in breach shall bear all costs caused by such proceedings.
  • Seat, law and language. The arbitration is governed by the Arbitration Act, 1940 and the laws of Pakistan. The seat and venue of the arbitration is Lahore, Pakistan. Proceedings may be conducted in English or Urdu. Subject to this clause, only the courts at Lahore have jurisdiction, and only for matters that by law cannot be decided by arbitration or for the enforcement of an Award or decision.
  • Costs and confidentiality. Each party bears its own costs of the arbitration unless the Committee or the Appellate Forum orders otherwise. The proceedings, the evidence and the Award are confidential and shall not be disclosed except as needed to carry out or enforce the Award or as required by law.
  • Interim measures. While a Dispute is pending, Shipify may keep any disputed amount on hold in the wallets concerned, pause payouts linked to it, or suspend the accounts involved, to protect the parties until the Dispute is decided. This is not a decision on the merits.
  • Obligations continue. While a Dispute is pending, every party shall continue to perform its other obligations on the Platform, and the existence of a Dispute does not by itself excuse payment of any undisputed amount.

§25

General Provisions

  • Entire agreement. This document, together with the documents it refers to, is the entire agreement between you and Shipify on its subject and replaces any earlier statement, message or understanding.
  • Amendment. Shipify may amend this document at any time. A material amendment is shown in the app with a new version number; continuing to use the Platform after it is shown, or accepting the new Terms with one tap, is your acceptance.
  • Signed once. You sign your role agreement one time, when you sign up. When the agreement or the Terms are later updated, your signature stays valid for the updated text: you are not asked to sign again, and your acceptance of the updated Terms (one tap in the app) and your continued use of the Platform is your consent to the updated agreement. The signature record (legal name, date, IP address and device) is kept as evidence.
  • Assignment. You may not assign or transfer any right or obligation. Shipify may assign or transfer its rights and obligations, including to a successor business, without your consent.
  • Severability. If any provision is found invalid or unenforceable, it is applied to the maximum extent allowed and the rest remains in full force.
  • Waiver. A delay or failure by Shipify to enforce any right is not a waiver of it, and a waiver of one breach is not a waiver of any other.
  • Independent parties. Nothing in this document creates any partnership, joint venture, agency, franchise, employment or fiduciary relationship between you and Shipify. No labour, employment, social security or workers' compensation law applies between you and Shipify on account of your use of the Platform.
  • Force majeure. Shipify is not liable for any failure or delay caused by events beyond its reasonable control, including natural disasters, epidemics, floods, fire, strikes, riots, curfews, war, acts of government, internet, power, bank or payment system failures, and cyber attacks.
  • Survival. Every provision that by its nature should survive (including wallet corrections, set-off, indemnity, limitation of liability, confidentiality and dispute resolution) survives the end of this agreement and the closure of your account.
  • Language and headings. This document is in English, which prevails over any translation. Headings are for convenience only.
  • Rights reserved. Every right not expressly given to you is reserved by Shipify. Every remedy of Shipify is cumulative and in addition to its rights under law.
